Terms of Service

These terms govern enquiries and wholesale voice services provided by Textology to verified businesses.

1. Business use only

The services are intended only for legitimate businesses. By submitting an enquiry or entering into an agreement, you represent that:

  • You are at least 18 years old
  • You are authorized to represent the business
  • The information provided is accurate
  • The proposed traffic is lawful.

2. Quotes and enquiries

Website content and quote responses are informational and do not constitute a binding offer. Route availability, pricing, quality, capacity and activation remain subject to:

  • Business verification
  • Technical review
  • Credit approval
  • Traffic approval
  • Carrier availability
  • Regulatory requirements
  • A signed agreement or order form.

3. Customer agreement

Production services require a signed master services agreement, order form or other written agreement approved by Textology. If these website terms conflict with a signed agreement, the signed agreement will control.

4. Service availability

Voice routes, DIDs, toll-free numbers, caller ID support and technical features may vary by country, carrier and destination.

Textology does not guarantee that:

  • Every destination will be available
  • Every call will connect
  • caller ID will display in every case
  • A route will remain available indefinitely
  • A specific quality metric will always be achieved
  • A third-party carrier will not modify its service.

Any service-level commitment must be expressly included in a signed agreement.

5. Rates, fees and billing

Rates may depend on:

  • Destination
  • Prefix
  • Route type
  • Traffic volume
  • Currency
  • Carrier pricing
  • Taxes
  • Regulatory fees
  • Fraud risk
  • Commercial terms.

Unless otherwise agreed:

  • Usage is measured according to Textology or carrier records
  • Rates may change upon notice
  • Customers remain responsible for taxes and regulatory charges
  • Deposits or prepayment may be required
  • Textology may establish or modify credit limits
  • Disputed invoices must be reported within the period stated in the signed agreement.

6. Customer responsibilities

Customers must:

  • Use services lawfully
  • Maintain accurate business information
  • Protect SIP credentials and systems
  • Use authorized telephone numbers
  • Follow consent and do not call requirements
  • Maintain required regulatory registrations
  • Respond promptly to compliance enquiries
  • Cooperate with traceback requests
  • Prevent unauthorized traffic
  • Notify Textology of material changes.

7. Caller ID

Customers may transmit only caller IDs that they:

  • Own
  • Control
  • Have been assigned
  • Are expressly authorized to use.

Textology may block, modify or reject unauthorized or suspicious caller ID information.

8. Third-party carriers

Textology may use third-party carriers and vendors to provide services.

Textology is not responsible for events outside its reasonable control, including:

  • Carrier outages
  • Destination blocking
  • Regulatory changes
  • Internet failures
  • Upstream routing changes
  • Numbering restrictions
  • Government action
  • Force-majeure events.

9. Fraud and account security

The customer is responsible for:

  • Securing PBX, SIP and network credentials
  • Restricting unauthorized access
  • Monitoring unusual traffic
  • Reporting suspected compromise immediately.

The customer may be responsible for usage generated through compromised systems unless otherwise required by law or agreed in writing.

10. Emergency services

Wholesale voice services do not include access to emergency services unless expressly confirmed in a signed agreement. Customers must not represent otherwise to their users.

11. Suspension

Textology may immediately restrict or suspend services where it reasonably suspects:

  • Fraud
  • Illegal traffic
  • caller ID abuse
  • Security compromise
  • Regulatory risk
  • Non-payment
  • Policy violation
  • Carrier complaint
  • Traceback non-cooperation
  • Material risk to Textology or its providers.

12. Intellectual property

Textology retains all rights in its:

  • Website
  • Branding
  • Software
  • Documentation
  • Routing configurations
  • Systems
  • Proprietary materials.

No rights are transferred except as expressly stated in writing.

13. Confidentiality

Business, pricing, routing, technical and customer information identified as confidential must be protected and used only for the agreed business purpose.

14. Disclaimer of warranties

To the maximum extent permitted by law, services are provided "as is" and "as available."

Textology disclaims implied warranties including merchantability, fitness for a particular purpose and non-infringement.

15. Limitation of liability

To the maximum extent permitted by law:

  • Textology will not be liable for indirect, incidental, special, punitive or consequential damages
  • Textology will not be liable for lost profits, revenue, customers or business opportunities
  • Textology's aggregate liability will not exceed the fees paid by the customer during the 12 months preceding the event giving rise to the claim.

16. Indemnification

The customer agrees to defend, indemnify and hold harmless Textology and its officers, employees and providers from claims arising from:

  • Customer traffic
  • Customer content
  • Illegal or unauthorized calls
  • caller ID misuse
  • Consent violations
  • Regulatory violations
  • Customer-system compromise
  • Breach of these terms or a signed agreement.

17. Termination

Either party may terminate services according to the signed agreement.

Textology may terminate immediately for serious compliance, fraud, security or payment violations.

18. Governing law

These terms are governed by the laws of the state of New York, without regard to conflict-of-law principles. Any dispute will be handled in the state or federal courts located in New York unless a signed agreement provides otherwise.

19. Changes

Textology may update these terms periodically. Changes will apply prospectively unless required by law or necessary to address abuse or security risks.
